It is all too common that a small business owner waits until contracts have already been signed or transactions have occurred that an attorney is consulted. Contacting your attorney after a transaction has been consummated can be too late. It is typically much easier to restructure a deal before the deal has been done.
Some important areas to watch out for are taxation, majority vs. minority interests, characterization of income (capital gains vs. ordinary income), indemnification clauses, forum selection, arbitration clauses, non-competes, in addition to many other relevant areas of concern. Before you sign a significant contract let us review it to ensure that you are not giving up any rights or privileges you are not aware that you have (or need not give up).
For this low fee we will provide you with advice and guidance over the phone. We will review up to 3 contracts, up to 10-pages long per month. Any drafting or in-house consultations will be charged separately, however a 15% discount will be applied to these fees as a small business support plan client. There are no refunds for unused time.
